Terms of Service

Please read these terms carefully before using our platform and services.

Effective date: March 12, 2026

These Terms of Service ("Terms") govern your use of the Pipeout platform and services available at pipeout.app ("Platform"). The Platform is provided by Chain Central LLC. By creating an account, accepting an order form, or using the Platform, you agree to these Terms.

2. Scope; Customer Eligibility

These Terms apply to all paid and free use of the Platform and related services. The Platform is intended exclusively for business users (B2B). It is not directed at consumers.

3. Account, Contract Formation, and Your Responsibilities

Use requires registration of an account. You must provide accurate information and keep it current. A contract is concluded when we confirm your registration or start providing services, or when you accept an order form referencing these Terms. You must safeguard credentials; you are responsible for activity under your account unless you are not at fault.

4. Services (SaaS)

Pipeout provides cloud-based software for lead generation, company analysis, contact discovery, and outreach campaign automation ("Services"). The specific scope, usage limits, features and pricing follow from the plan you select and any order form. Services are provided as SaaS via web and/or API; no software is transferred.

5. Free Trials, Free Plans and Beta Features

We may offer free trials, free plans or beta features at our discretion. Their availability and scope may change. Beta features may be unstable and can be modified or discontinued.

6. Acceptable Use; Prohibited Conduct

You must use the Services in accordance with these Terms and applicable laws (including data protection, IP, and competition laws). You must not: (a) use the Services unlawfully; (b) bypass technical protections or usage limits; (c) reverse engineer except where legally permitted; (d) transmit malware or disrupt system integrity; (e) share access with unauthorised parties; (f) send spam or violate privacy rights of third parties.

You are responsible for the legality and accuracy of data you connect or upload and for your configurations and integrations.

7. Fees, Invoicing and Payment

Fees and billing cycles are defined by your plan or order form; prices are net of applicable taxes. Fees are typically payable in advance for the billing period. In case of late payment we may charge statutory interest and reasonable reminder fees and, after notice, suspend access.

8. Term, Renewal and Termination

Subscriptions run for the initial term chosen (e.g., monthly or annually) and renew for the same term unless cancelled in due time. Ordinary termination is possible with effect to the end of the current term, observing the notice period defined in the plan/order (default: 14 days before term end). Either party may terminate for good cause without notice if legal requirements are met. Upon termination, access ends at term end.

9. Availability, Maintenance and Support

We use commercially reasonable efforts to provide high availability, subject to maintenance, updates and events beyond our control. Planned maintenance will, where reasonably possible, be scheduled outside core business hours.

10. Intellectual Property and Licence

All IP rights in the Platform and documentation remain with Pipeout and its licensors. We grant you a non-exclusive, non-transferable, non-sublicensable licence to use the Services for your internal business purposes during the subscription.

11. Customer Data and Confidentiality

"Customer Data" means data you or your users upload or connect to the Platform. We treat Customer Data as confidential and use it only to provide, maintain, secure and improve the Services and as otherwise agreed. Both parties will keep confidential the other party's non-public information.

12. Privacy; Data Processing

Our Privacy Policy explains how we process personal data as a controller for website, account and communications. Where we process personal data as your processor, the parties shall conclude a separate DPA under Art. 28 GDPR.

13. Warranty

For paid Services, we warrant that the core functionality substantially conforms to the documentation under normal use. We do not warrant uninterrupted or error-free operation or specific business outcomes. For free/beta Services, warranty is limited to intent and gross negligence and mandatory law.

14. Liability

We are liable without limitation for intent, gross negligence, and for injury to life, body or health, and under mandatory product liability laws. In all other cases, liability for slight negligence is limited to typical, foreseeable damages arising from a material contractual duty.

15. Indemnification

You will indemnify and hold us harmless from third-party claims arising from your unlawful use of the Services or breach of these Terms, to the extent you are responsible.

16. Changes to Services and Terms

We may reasonably modify the Services for technical, security, legal or business reasons without materially reducing agreed core functionality. We may amend these Terms where required by law/technology or where reasonable. We will notify you; continued use after the effective date constitutes acceptance.

17. Third-Party Services and Integrations

Integrations with third-party services (such as LinkedIn, email providers, and AI model providers) may be available. Their use is subject to the respective providers' terms. We are not responsible for third-party services.

18. Governing Law and Venue

These Terms are governed by the laws of Georgia, excluding its conflict-of-laws rules. The courts of Tbilisi, Georgia, have exclusive jurisdiction, provided no mandatory venue applies.

19. Final Provisions

If any provision is invalid, the remainder remains effective; an effective provision closest to the intended purpose shall replace it. These Terms constitute the entire agreement and supersede prior understandings on the subject matter.
